End-User License Agreement
This End-User License Agreement (the “Agreement”) governs use of the Just Toys ORBIT Advertising software integration (the “Application”). The Application is a private, internal integration that reads advertising data from an Amazon Advertising account through the Amazon Ads API for the sole purpose of advertising and supply-chain analytics. It is not distributed or offered to the general public.
1. Parties
The Application is licensed for use by Just Toys LLC (the “Company”), which owns the Amazon Advertising data accessed by the Application and acts as the data controller. The Application is developed, operated, and maintained by HorizonLabs (the “Provider”), acting as a data processor on the Company’s behalf.
2. License grant
The Provider grants the Company a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the Company’s internal business operations. No rights are granted to any third party.
3. Read-only scope
The Application operates on a strict read-only basis. It retrieves campaign, ad group, and targeting structure and settings, together with aggregated performance metrics, from the connected Amazon Advertising profile. The Application does not create, modify, pause, or delete campaigns, budgets, bids, or any other object in the connected account, and never writes back to it. It does not access personal information about shoppers or end consumers.
4. Restrictions
The Company shall not, and shall not permit any third party to:
- use the Application for any purpose other than the internal analytics described above;
- sublicense, resell, distribute, or otherwise make the Application available to third parties;
- reverse engineer, decompile, or attempt to derive source code, except as permitted by law;
- use the Application in violation of the Amazon Ads API Terms of Use or any applicable law.
5. Authorization and connection
Access to an Amazon Advertising account requires explicit authorization by an authorized user of that account through Amazon’s Login with Amazon OAuth 2.0 consent flow. Authorization may be revoked at any time from the Amazon account’s application permissions, which immediately terminates the Application’s access.
6. Intellectual property
The Application, including its code, structure, and design, remains the property of the Provider. The advertising data accessed through the Application remains the property of the Company.
7. Disclaimer of warranties
The Application is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Provider does not warrant that the Application will be uninterrupted or error-free.
8. Limitation of liability
To the maximum extent permitted by law, the Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or related to the use of the Application.
9. Term and termination
This Agreement remains in effect for as long as the Application is authorized to access an Amazon Advertising account. Either party may terminate at any time; upon termination, authorization is revoked and the Application ceases to access the Company’s data.
10. Governing law
This Agreement is governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws principles.
